SEC Unveils Crypto Plan as Agency Moves Ahead on Digital Assets

The U.S. Securities and Exchange Commission (SEC) proposed new exemptions for certain digital-asset offerings as it advances a crypto regulatory framework following stalled congressional legislation. The plan would exempt offerings of up to $5 million from securities registration for four years, while offerings up to $75 million could receive a 12-month exemption with financial-statement and ongoing reporting requirements. The proposal also includes a safe harbor that could allow some digital assets to fall outside the securities definition once issuers complete their promised managerial efforts, potentially placing them under the U.S. Commodity Futures Trading Commission. SEC Chairman Paul Atkins stressed that legislation remains necessary to establish durable, future-proof rules. The proposal comes as negotiations over the Clarity Act remain stalled in Congress, with lawmakers divided over market structure and ethics provisions.
